1. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use Visibal.ai.

If you are using the Services on behalf of a company, agency, organisation, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Accounts and Access

Certain features of Visibal.ai may require the creation of an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to provide accurate, complete, and current information during registration and to update such information whenever necessary.

Visibal.ai reserves the right to suspend, restrict, or terminate access to accounts that contain inaccurate information, violate these Terms, or pose security, operational, or legal risks.

3. Services and Platform Availability

Visibal.ai provides AI-powered visibility, optimisation, analytics, monitoring, reporting, automation, and related digital services.

While we strive to maintain reliable platform availability, we do not guarantee uninterrupted access, error-free operation, or continuous availability of any feature, functionality, integration, report, or service.

We reserve the right to modify, update, discontinue, enhance, or replace any aspect of the Services at any time without prior notice.

4. Subscription Plans, Licensing and Payments

Certain Services are provided through subscription plans, licence agreements, service packages, or custom commercial arrangements.

By selecting a subscription plan, licence tier, or service package and completing the applicable payment process, you acknowledge and agree that the pricing displayed at the time of purchase represents the agreed consideration for the selected Services.

The fees displayed for each subscription, licence, or service package are final unless otherwise agreed in writing by Visibal.ai.

By purchasing, subscribing to, renewing, or otherwise authorising access to any paid Services, the customer enters into a legally binding agreement with Visibal.ai and agrees to pay all applicable fees associated with the selected plan.

The customer acknowledges and agrees that:

• The selected licence grants access only to the Services included within the chosen plan.
• Access to paid Services is conditional upon successful payment and continued compliance with these Terms.
• Failure to make payment may result in suspension, restriction, or termination of access.
• Any unpaid amounts may remain recoverable by Visibal.ai through applicable legal remedies.
• Subscription fees, licence fees, and service charges are non-refundable unless expressly stated otherwise in a separate written agreement.

Visibal.ai reserves the right to revise pricing, subscription structures, licence models, and service offerings at its discretion. Any future pricing changes shall apply prospectively and shall not affect payments already made for active billing periods unless otherwise stated.

5. Free Trials

Where offered, free trials are provided solely for evaluation purposes.

Visibal.ai may modify, restrict, suspend, or terminate free trial access at any time without notice. Conversion from a free trial to a paid subscription may require the submission of valid billing information and acceptance of applicable pricing.

6. Acceptable Use

You agree to use Visibal.ai responsibly and in compliance with all applicable laws and regulations.

You must not:

• Use the Services for unlawful purposes.
• Attempt to gain unauthorised access to systems, infrastructure, accounts, or data.
• Interfere with the security, stability, or operation of the platform.
• Reverse engineer, copy, reproduce, or distribute proprietary technology without authorisation.
• Upload malicious software, harmful code, or disruptive content.
• Misrepresent your identity or authority.
• Use the Services in a manner that infringes intellectual property, privacy rights, or contractual rights of others.

7. Intellectual Property

Visibal.ai and its licensors retain all rights, title, and interest in and to the platform, software, technology, algorithms, trademarks, logos, content, reports, visual assets, documentation, and related intellectual property.

Nothing contained within these Terms transfers ownership of any intellectual property to users. Except for the limited right to access and use the Services under an active subscription, no licence or ownership rights are granted.

8. User Content

Users retain ownership of the content, information, prompts, data, and materials submitted to the platform.

By submitting such content, you grant Visibal.ai a limited, non-exclusive licence to process, store, analyse, transmit, and display that content solely for the purpose of providing, maintaining, improving, and securing the Services.

You represent and warrant that you possess all necessary rights, permissions, and authorisations required to submit such content.

9. Third-Party Services and Integrations

The Services may integrate with third-party platforms, APIs, software applications, analytics tools, search engines, AI providers, advertising platforms, or other external services.

Visibal.ai does not control and is not responsible for the availability, accuracy, security, functionality, policies, or practices of third-party providers.

Your use of third-party services may be subject to separate agreements and policies established by those providers.

10. AI-Generated Insights and Recommendations

Visibal.ai may provide insights, recommendations, analytics, forecasts, reports, optimisation suggestions, or AI-generated outputs.

Such outputs are provided for informational and operational assistance purposes only and should not be considered legal, financial, tax, regulatory, or professional advice.

Users remain solely responsible for reviewing, validating, and implementing any recommendations before acting upon them.

Visibal.ai does not guarantee specific business outcomes, rankings, visibility improvements, revenue increases, lead generation results, or commercial performance arising from the use of the Services.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Visibal.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

12. Limitation of Liability

To the fullest extent permitted by law, Visibal.ai, its directors, employees, affiliates, contractors, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

This includes, without limitation, loss of profits, loss of revenue, business interruption, loss of goodwill, loss of data, loss of opportunities, or other commercial damages arising from the use of or inability to use the Services.

In all circumstances, the aggregate liability of Visibal.ai shall not exceed the total amount paid by the customer to Visibal.ai during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Visibal.ai and its affiliates, officers, employees, contractors, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of applicable laws.
• Your infringement of third-party rights.
• Content or information submitted by you through the platform.

14. Suspension and Termination

Visibal.ai reserves the right to suspend, restrict, or terminate access to the Services at any time where:

• These Terms are violated.
• Payment obligations remain outstanding.
• Fraudulent, abusive, or unlawful activity is detected.
• Continued access creates operational, legal, or security risks.

Termination shall not relieve the customer of any outstanding payment obligations incurred prior to termination.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

16. Changes to these Terms

Visibal.ai may update these Terms from time to time to reflect changes in business operations, legal requirements, product offerings, or platform functionality.

Updated versions shall become effective upon publication on this page. Continued use of the Services after publication constitutes acceptance of the revised Terms.
